1. Introduction and Acceptance

Welcome to Kabila, operated by Plaza Labs, S.L. (hereinafter "Kabila", "we", "us", or "our"). These Terms of Use ("Terms") govern your access to and use of the Kabila platform, including our website (kabila.app), marketplace, wallet, tools, plazas, and all related services (collectively, the "Platform").

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and Cookie Policy. If you do not agree to these Terms, you must not access or use the Platform.

2. Definitions

For the purposes of these Terms:

• "User" means any person who accesses or uses the Platform
• "Creator" means a User who creates, mints, or lists NFTs on the Platform
• "NFT" means a non-fungible token created on the Hedera network
• "FT" means a fungible token created on the Hedera network
• "Wallet" means a digital wallet compatible with the Hedera network
• "Plaza" means a community space created on the Platform
• "Content" means any data, text, images, videos, or other materials uploaded to the Platform

3. Eligibility and Account Registration

3.1 Age Requirements

You must be at least 18 years old to use the Platform. If you are under 18, you may only use the Platform with the involvement and consent of a parent or legal guardian. We do not knowingly collect personal information from children under 14 years old.

3.2 Account Creation

To access certain features of the Platform, you must create an account by connecting a compatible Hedera wallet (such as HashPack, Blade, or Kabila Wallet). You are responsible for:

• Maintaining the security of your wallet and private keys
• All activities that occur under your account
• Ensuring the accuracy of information you provide

3.3 Account Suspension

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, illegal, or harmful activities.

4. Platform Services

4.1 Marketplace

The Kabila Marketplace allows Users to:

• Browse, buy, and sell NFTs created on the Hedera network
• Participate in NFT launchpads and minting events
• Make and receive offers on NFTs
• View collection analytics and rankings

4.2 Tools

Kabila Tools provides Creators with features to:

• Create and deploy NFT collections
• Manage collection metadata and royalties
• Configure minting parameters
• Access advanced creator features (requires Creator Pass)

4.3 Tokenized Communities

Kabila App includes Tokenized Communities, token-gated spaces where Users can:

• Create and join exclusive communities
• Share content and engage with other members
• Access exclusive features based on NFT ownership
• Participate in real-time chats
• View analytics and community metrics

4.4 Wallet

The Kabila Wallet allows Users to:

• Store and manage Hedera assets (HBAR, NFTs, FTs)
• Connect to dApps on the Hedera network
• View transaction history
• Manage account settings

5. User Obligations and Conduct

5.1 Prohibited Activities

You agree NOT to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Upload malicious code, viruses, or harmful content
• Engage in market manipulation or wash trading
• Create fake accounts or impersonate others
• Harass, threaten, or abuse other Users
• Attempt to gain unauthorized access to the Platform
• Use the Platform for money laundering or illegal activities
• Create or trade NFTs containing illegal content
• Spam or send unsolicited communications

5.2 Content Responsibility

You are solely responsible for any Content you upload to the Platform. You represent and warrant that:

• You own or have the necessary rights to the Content
• Your Content does not violate any laws or third-party rights
• Your Content does not contain harmful or offensive material

5.3 Compliance

You agree to comply with all applicable laws, including but not limited to:

• Tax obligations related to your transactions
• Anti-money laundering (AML) regulations
• Know Your Customer (KYC) requirements (if applicable)
• Securities laws and regulations

6. Intellectual Property

6.1 Platform Ownership

All intellectual property rights in the Platform, including but not limited to software, design, logos, and trademarks, are owned by Kabila or our licensors. You may not use, copy, or distribute any of our intellectual property without prior written consent.

6.2 User Content

You retain ownership of Content you upload to the Platform. However, by uploading Content, you grant Kabila a worldwide, non-exclusive, royalty-free license to use, display, and distribute your Content for the purpose of operating and promoting the Platform.

6.3 NFT Ownership

When you purchase an NFT through the Platform:

• You own the NFT token itself
• Ownership of the underlying content depends on the terms set by the Creator
• You do not automatically acquire intellectual property rights to the content unless explicitly granted

7. Transactions and Fees

7.1 Blockchain Transactions

All transactions on the Platform are executed on the Hedera network. You acknowledge that:

• Blockchain transactions are irreversible
• We do not control the Hedera network
• Network fees (gas fees) apply to transactions
• Transaction times may vary based on network conditions

7.2 Platform Fees

Kabila charges fees for certain services:

• Marketplace transaction fees (typically 2.5% of sale price)
• Creator royalties (set by collection creators)
• Launchpad fees (if applicable)
• Premium features (Creator Pass, etc.)

All fees are clearly displayed before you complete a transaction.

7.3 Payment and Taxes

• Payments are processed in HBAR or other supported tokens
• You are responsible for all applicable taxes
• We do not provide tax advice; consult a tax professional

8. Disclaimers and Limitations

8.1 No Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Merchantability or fitness for a particular purpose
• Accuracy, reliability, or completeness of content
• Uninterrupted or error-free operation
• Security or absence of viruses

8.2 Third-Party Services

The Platform integrates with third-party services, including:

• Hedera network
• Wallet providers (HashPack, Blade, etc.)
• Payment processors
• Analytics services

We are not responsible for the performance, security, or policies of these third-party services.

8.3 NFT Risks

You acknowledge the risks associated with NFTs, including:

• Price volatility
• Lack of liquidity
• Technological risks (smart contract bugs, network failures)
• Regulatory uncertainty
• Loss of access to your wallet

8.4 No Investment Advice

Nothing on the Platform constitutes financial, investment, legal, or tax advice. You should conduct your own research and consult professionals before making any decisions.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KABILA SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, or goodwill
• Service interruptions or security breaches
• Actions or omissions of third parties
• Your use or inability to use the Platform

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO KABILA IN THE 12 MONTHS PRECEDING THE CLAIM, OR €100, WHICHEVER IS GREATER.

10. Indemnification

You agree to indemnify, defend, and hold harmless Kabila, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Platform
• Your violation of these Terms
• Your violation of any laws or third-party rights
• Your Content or NFTs

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of Spain, without regard to conflict of law principles.

11.2 Jurisdiction

Any disputes arising from these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of Alicante, Spain.

11.3 Informal Resolution

Before initiating formal proceedings, you agree to contact us at hello@kabila.app to attempt to resolve the dispute informally.

12. Modifications and Termination

12.1 Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on the Platform
• Sending an email notification (if applicable)
• Displaying a prominent notice on the Platform

Your continued use of the Platform after changes constitutes acceptance of the modified Terms.

12.2 Service Changes

We reserve the right to:

• Modify, suspend, or discontinue any part of the Platform
• Change fees or introduce new fees
• Add or remove features

12.3 Termination

You may terminate your account at any time by disconnecting your wallet and ceasing to use the Platform. We may terminate or suspend your access immediately if you violate these Terms.

Upon termination:

• Your right to use the Platform ceases immediately
• We may delete your account data (subject to legal retention requirements)
• You remain liable for any obligations incurred before termination

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Kabila regarding the Platform.

13.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

13.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms at any time without notice.

13.5 Force Majeure

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, network failures, or government actions.

13.6 Language

These Terms are provided in multiple languages for your convenience. In case of any conflict, the English version shall prevail.
